Standard Terms and Conditions of Sale
1. Application
These terms and conditions of sale (“Terms”) apply to every quotation, order confirmation, and sale of goods by Range Ready Limited (“Range Ready”, “we”, “us”, or “our”) to the customer (“you” or “the Client”). By placing an order with us, the Client accepts these Terms in full.
The Client’s own standard terms and conditions of purchase, whenever issued, do not apply to any order, whether or not they are referenced in the Client’s purchase order or correspondence. No variation to these Terms is binding unless agreed in writing and signed by an authorised representative of Range Ready.
2. Prices and Payment
All prices displayed on our website are inclusive of GST but do not include delivery charges. Prices in a separate quotation or order confirmation are as stated in that document and are inclusive of GST unless stated otherwise, and exclude delivery charges unless stated otherwise.
Unless another payment period is stated on the invoice or order, invoices are payable within 21 days of the invoice date.
If payment is not received by the due date, Range Ready may charge interest on the outstanding amount at a rate of 10% per annum, calculated daily from the due date until the date of actual payment, and may suspend or withhold further deliveries or orders without prior notice until payment is made in full.
3. Overdue Accounts and Debt Recovery
If any amount remains unpaid more than sixty (60) days after the due date, Range Ready may refer the debt to a debt collection agency or its solicitors for recovery. The Client will be liable for all reasonable collection costs and legal expenses incurred by Range Ready in recovering the debt, to the extent permitted by law.
4. Taxes and Withholdings
Where any withholding tax or similar deduction is required by law to be made from a payment to Range Ready, the Client must pay any such amount to the relevant tax authority, and the invoiced amount payable to Range Ready must not be reduced on account of it. Range Ready accepts no liability for taxes, duties, or levies imposed under the law of any jurisdiction other than New Zealand.
5. Delivery
Delivery dates and lead times given by Range Ready are estimates only. While we will use reasonable efforts to meet agreed timeframes, time is not of the essence and Range Ready is not liable for any loss arising from a delay in delivery.
Risk in the goods passes to the Client on delivery. Title to the goods does not pass to the Client until Range Ready has received payment in full for those goods and all other amounts owing by the Client to Range Ready.
Until title passes, the Client must store the goods separately from its own goods and those of any third party, keep them clearly identifiable as belonging to Range Ready, and insure them against loss or damage. If the Client fails to pay for the goods when due, Range Ready may recover or resell the goods, and the Client grants Range Ready and its agents an irrevocable licence to enter any premises where the goods are stored for that purpose.
6. Inspection, Claims, and Returns
The Client must inspect the goods on delivery and notify Range Ready in writing of any shortage, damage, or defect within 8 days of delivery. Claims made after this period may be declined, except where the defect could not reasonably have been discovered on inspection.
Nothing in these Terms excludes, restricts, or modifies any right or remedy that cannot lawfully be excluded, including any guarantee under the Consumer Guarantees Act 1993 where the Client is acquiring goods as a consumer within the meaning of that Act. Where the Client is acquiring goods for the purposes of a business, the Client agrees that the Consumer Guarantees Act 1993 does not apply.
7. Liability
Range Ready will use reasonable care and skill in supplying goods in accordance with agreed specifications and timeframes, but does not guarantee any particular outcome or result from the Client’s use of the goods.
To the maximum extent permitted by law, Range Ready’s total liability to the Client arising out of or in connection with any order, whether in contract, tort (including negligence), or otherwise, is limited to the price paid by the Client for the goods giving rise to the claim. Range Ready is not liable for any indirect, consequential, or special loss, including loss of profits, revenue, or business opportunity.
Range Ready is not required to be joined as a third party, or otherwise participate, in any claim for damages brought against the Client by an end consumer or other third party.
8. Governing Law
These Terms, and any order or contract for the sale of goods made under them, are governed by the laws of New Zealand, and the parties submit to the exclusive jurisdiction of the courts of New Zealand.
